iDevAffiliate Cloud Solution Agreement

AFFILIATE PAYMENTS
Upon completion of installation, you will set a day of the month each affiliate is to be paid.  You must pay your affiliates on this day, every month.  We do not require nor accept balance deposits to ensure this happens.  You are responsible for this action and if it does not occur, we reserve the right to suspend your account.  This is an action that requires you to manually login to the iDevAffiliate Admin Center and Pay Affiliates.  See #3 in Terms of Usage for more information.

TERMS OF USAGE
1. You may backup tables in iDevAffiliate using the features available in the iDevAffiliate Admin Center.  At no time shall iDevAffiliate Inc. be responsible for providing database table exports.

2. Affiliate payments are to be made by you or your staff without interference from iDevAffiliate Inc.  iDevAffiliate Inc. shall not be held responsible for paying affiliate commissions.

3. iDevAffiliate Inc. reserves the right to suspend your account for any activities it deems as unethical.  This includes, but is not limited to, multiple complaints of affiliate non-payment.  If you do not pay your affiliates and iDevAffiliate Inc. receives more than one complaint, we will suspend your account for a period of no less than 10 days and no more than 90 days.

LIMITED LIABILITY
WE WILL NOT BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, SERVER DOWNTIME OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR THE INABILITY TO USE iDevAffiliate Cloud Edition OR FOR ANY CLAIM BY ANY OTHER PARTY INCLUDING NEGLIGENCE.

TERM AND TERMINATION
iDevAffiliate Inc. retains the right to terminate your service agreement at any time, if in its sole discretion, you are not abiding by the terms of the Agreement, including, but not limited to, obscuring or removing any link or copyright notice as specified in this agreement. You may terminate the service agreement at any time after 90 days by canceling your PayPal subscription or notifying us by opening a support ticket.  Annual service contracts are non-refundable at anytime during the 12 month period. This service agreement takes effect upon completion of installation and remains effective until terminated.
